Founding Partner Agreement

1. Purpose

Bonded is a couples date discovery platform that helps couples discover and match on curated date ideas offered by local businesses.

The purpose of this Agreement is to define the terms under which the Partner participates in the MVP (Minimum Viable Product) phase, during which Bonded focuses on validation, user experience, and partner collaboration — not monetisation.

2. Role of the Parties

2.1 Bonded's Role (MVP Scope)

During the MVP phase, Bonded:

• Displays the Partner's date ideas in the Bonded app
• Allows couples to match on those date ideas
• Provides booking contact information only

Important clarifications:

• Bonded does not manage bookings
• Bonded does not confirm availability
• Bonded does not process payments
• Bonded does not act as a booking agent

Bonded is strictly a discovery and matchmaking platform during the MVP.

2.2 Partner's Role

The Partner:

• Provides and delivers the actual experience
• Is solely responsible for: service quality, safety, staff, facilities, legal and regulatory compliance
• Handles all bookings directly with customers

All bookings occur directly between the Partner and the customer, outside of Bonded.

3. Founding Partner Benefits (MVP)

During the MVP phase, the Partner receives:

• Free listing in the Bonded app
• Support in creating 1–3 curated "date packages for two"
• Inclusion in Bonded's Tallinn launch materials (app visuals, website, social media)

No fees, commissions, or payments apply during the MVP.

4. Experience Information & Pricing

The Partner agrees to provide accurate and up-to-date information for each listed date idea, including:

• Title and description
• What is included
• Fixed price per couple (2 people)
• Availability (days/times)
• Cancellation and refund rules
• Preferred booking contact method

Pricing principle (MVP):

• All prices are displayed as fixed prices per couple (2 people)
• Per-person pricing is not supported during the MVP
• Bonded does not verify or enforce pricing accuracy

5. Bookings & Communication (MVP)

• Bonded displays booking contact details only
• Customers contact the Partner directly to book
• The Partner decides whether to accept or decline bookings

Bonded does not:

• Track bookings
• Confirm bookings
• Intervene in disputes

6. Payments & Fees (MVP)

During the MVP phase:

• Bonded does not collect payments
• Bonded does not charge commissions
• Bonded does not guarantee bookings or revenue

All financial transactions occur directly between the Partner and the customer, under the Partner's own terms.

Any future monetisation (e.g. commissions, paid promotions, swipe-based pricing) will require a separate written agreement.

7. Cancellations & No-Shows

The Partner defines and enforces its own cancellation and no-show policy. Bonded may display this information for transparency.

Bonded is not responsible for: cancellations, no-shows, lost revenue, or customer disputes.

8. Intellectual Property & Marketing Rights

The Partner grants Bonded a non-exclusive, royalty-free right to use:

• Business name
• Logo
• Photos
• Experience descriptions

For use in:

• The Bonded app
• Bonded website
• MVP-related marketing and promotional materials

This right ends upon termination of this Agreement.

9. Feedback & Pilot Collaboration

As a Founding Partner, the Partner agrees to:

• Provide reasonable feedback if requested
• Participate in short pilot feedback discussions when possible

Feedback is voluntary but highly valued.

10. Liability & Disclaimer

The Partner is solely responsible for delivering the experience. Bonded is not liable for service quality issues, safety incidents, or any disputes between the Partner and customers.

11. Term & Termination

This Agreement begins upon acceptance and remains in effect for the duration of the MVP phase.

Either party may terminate this Agreement with 14 days' written notice.

Upon termination:

• The Partner's listings may be removed
• Existing bookings should be honoured where reasonably possible

12. Confidentiality

Both parties agree to keep non-public business information shared during the MVP confidential.

13. Governing Law

This Agreement is governed by the laws of Estonia.

14. Acceptance

This Agreement may be accepted by:

• Filling in the registration form, or
• Digital or physical signature, or
• Written confirmation via email stating acceptance of these terms
